Terms of Service

Agreement

By creating an account or using Context Box ("the Service"), you agree to these Terms of Service. If you do not agree, do not use the Service.

Context Box is operated by its founders and is currently offered as a subscription SaaS product at contextbox.net.

These Terms incorporate our Privacy Policy. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Subscription and Payment

Trial: New accounts receive a 14-day free trial. A valid credit card is required at sign-up. You will not be charged until the trial ends.

Pricing: After the trial, the Service costs $10 per month. Subscriptions renew automatically at the start of each billing period.

Cancellation: You may cancel at any time from the Billing page. Cancellation takes effect at the end of the current billing period — you retain full access until then. We do not offer prorated refunds for partial billing periods.

Failed payments: If a payment fails, your account will enter a grace period. If payment is not resolved within that period, access to the Service will be suspended until the balance is settled.

Price changes: We will give at least 30 days notice before changing the subscription price, and existing subscribers will not be moved to a new price without their consent.

Acceptable Use

You agree to use the Service only for lawful purposes. You must not:

  • Use the Service to store or process data you do not have the right to use
  • Attempt to circumvent rate limits, access other users' data, or reverse-engineer the Service
  • Use automated scripts to abuse the MCP endpoints beyond normal usage patterns
  • Share your MCP bearer token with others or use it in a way that impersonates another user
  • Upload files containing malware or content that violates applicable law
  • Use the Service to develop, train, or improve a competing service without permission

Your Data

You own your data. Context Box does not claim any ownership over the conversation exports you upload or the memory chunks derived from them.

By using the Service, you grant Context Box a limited license to process and store your data solely for the purpose of providing the Service to you. We do not use your data for any other purpose, including training AI models.

You are responsible for ensuring that any data you upload does not infringe on the rights of third parties.

Beta and Early Access Features

Some features may be offered as beta, preview, experimental, or early-access functionality. These features may change, break, or be discontinued at any time and are provided without warranties, service-level commitments, or reliance guarantees.

No Warranty on Memory Accuracy

Context Box indexes and retrieves memories using semantic search and AI embeddings. Retrieved memories are provided "as is" — they represent fragments of your past conversations, not authoritative facts. Memory recall results may be incomplete, out of context, or irrelevant to a given query.

We make no warranty that the AI tools you connect via MCP will interpret or use your memories correctly. Outcomes of AI-assisted work that relies on Context Box memory are outside our control.

Service Availability

We aim to keep the Service available but do not guarantee 100% uptime. Planned maintenance will be communicated in advance where possible. We are not liable for losses resulting from downtime or service interruptions.

Security and Account Responsibility

You are responsible for maintaining the confidentiality of your password, active sessions, and MCP bearer tokens. You must promptly notify us if you believe your account or token has been compromised. We are not responsible for losses caused by your failure to secure your credentials or devices.

Third-Party Services

Context Box may interoperate with third-party AI tools, export sources, payment processors, hosting providers, and email services. We are not responsible for third-party services, their availability, their outputs, or their handling of data outside Context Box.

Copyright and Takedowns

If you believe content processed through the Service infringes your rights, contact us with enough detail to identify the material and the claimed infringement. We may remove content or suspend accounts when we believe it is appropriate or legally required.

Termination

You may close your account at any time from the Settings page, which permanently deletes all your data.

We reserve the right to suspend or terminate accounts that violate these Terms, with or without notice depending on the severity of the violation. In the case of termination due to a violation, no refund will be issued for any remaining subscription period.

Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Context Box and its founders, employees, contractors, and service providers from claims, damages, liabilities, costs, and expenses arising from your data, your use of the Service, your violation of these Terms, or your violation of third-party rights or applicable law.

Limitation of Liability

To the maximum extent permitted by applicable law, Context Box is not liable for indirect, incidental, or consequential damages arising from your use of the Service, including but not limited to lost profits, data loss, or business interruption.

Our total liability to you for any claim arising from use of the Service is limited to the amount you paid us in the three months preceding the claim.

These limitations apply to the fullest extent permitted by law and regardless of the legal theory, even if we have been advised that damages are possible. Some jurisdictions do not allow certain liability limitations, so some limitations may not apply to you.

Dispute Resolution and Class Action Waiver

Before filing a claim, you agree to contact us and try to resolve the dispute informally. Any dispute that cannot be resolved informally will be resolved only on an individual basis; you and Context Box each waive the right to participate in a class action, class arbitration, or representative proceeding to the extent permitted by law.

Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or a notice in the dashboard at least 14 days before they take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.

Governing Law

These Terms are governed by the laws of the State of New York, excluding its conflict of laws rules. Subject to the dispute-resolution section above, disputes will be resolved in the state or federal courts located in New York, and both parties consent to personal jurisdiction and venue there.
